PDNA includes the following:

  • - The General Assembly
  • - The Executive Board

The General Assembly (GA)

The General Assembly is the supreme authority of the PDNA. It is made up of all the members of the Association. In this capacity, it:

  • Adopts the strategic directions proposed by the Executive Board; 
  • Proceed with the adoption or amendment of the Articles of Association and Rules of Procedure; 
  • Designates honorary members; 
  • Approves or rejects any new membership; 
  • Select the members of the Executive Board; 
  • Approves the Executive Board report;
  • Determines the rates of membership fees and contributions on a proposal from the Executive Board; 
  • Decides on the accounts of the association; 
  • Adopts the budget; 
  • Resolves disputes between members.

The GA shall meet once a year in ordinary session. It may be convened in extraordinary session by the President of the association or at the request of at least 2/3 of its members. The invitation must be sent at least 20 working days before the meeting and must include the agenda. The work of the sessions of the GA is directed by the Chairman of the Board.

Mail-in voting is possible.

The decisions of the General Assembly are taken by a simple majority of the members present or duly represented. Each member has one vote. In the event of a tie, the President shall have the casting vote.

If the quorum (half of the active members) is not reached after two consecutive convocations within 20 days, the General Assembly may validly deliberate whatever the number of members present.
