The General Assembly (GA)

The General Assembly is the supreme authority of the PDNA. It is made up of all the members of the Association in good standing. In this capacity, it:

  • Adopts the strategic directions proposed by the Executive Board;
  • Proceed with the adoption or amendment of the Articles of Association and Internal Rules;
  • Designates honorary members;
  • Approves or rejects any new members;
  • Elect the members of the Executive Board;
  • Approves the Executive Board report;
  • Determines the rates of membership fees and contributions upon a proposal from the Executive Board;
  • Receives and approves the Financial Report of the association;
  • Adopts the budget;
  • Resolves disputes between members.

The General Assembly shall meet once a year in ordinary session. It may be convened in extraordinary session by the President of the association or at the request of at least 2/3 of its members. The invitation must be sent at least 20 working days before the meeting and must include the agenda. The President of the Association chairs the General Assembly.

The decisions of the General Assembly are taken by a simple majority of the members present or duly represented. Each member has one vote. In the event of a tie, the President shall have the casting vote.

If the quorum (half of the active members) is not reached after two consecutive convocations within 20 days, the General Assembly may deliberate irrespective of the number of members present.

Article 13: The Executive Board

The Executive Board shall be the implementing body of the Association. It is responsible for the application of the statutes, the internal rules and the decisions of the General Assembly. The Executive Board meets once a quarter at the invitation of its President. Decisions are taken by a simple majority. In the event of a tie, the President shall have the casting vote. Its members are elected by the General Assembly for a term of three years renewable once.
